By accessing or using the website, SDK, APIs, documentation, and related services (collectively, the “Services”) provided by Vakoi AI Ltd (“Vakoi,” “we,” “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

2. About Us

Vakoi AI Ltd is a company incorporated in England and Wales, with its registered office in London, United Kingdom. We provide an AI-powered advertising platform that enables game developers to monetise their games through scene-aware, style-matched native ad placements. Our SDK analyses in-game environments in real time and renders advertisements that blend with the visual context of each scene. We also provide a platform for advertisers to manage and measure campaigns delivered through our network.

3. Eligibility and Access Restrictions

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using our Services, you represent that you meet these requirements.

Access to the Services is not permitted for any individual or entity that operates, develops, or is affiliated with a product or service that competes with Vakoi, including but not limited to in-game advertising platforms, game monetisation SDKs, or AI-powered ad placement tools. By using the Services, you represent that you are not a competitor and are not accessing the Services on behalf of a competitor.

We reserve the right to deny, suspend, or terminate access to the Services for any person or entity, at any time, for any reason or no reason, at our sole discretion and without prior notice or liability.

4. Account Registration

Certain features require an account. You agree to provide accurate, current, and complete information and to keep your credentials secure. You are responsible for all activity under your account. Notify us immediately at support@vakoi.ai if you suspect unauthorised access.

5. SDK Licence and Usage

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to integrate the Vakoi SDK into your game applications solely for the purpose of displaying ads through our platform. You agree not to:

• Reverse-engineer, decompile, or disassemble the SDK or any part of the Services.
• Use the SDK to build a competing product or service.
• Remove or alter any proprietary notices or labels on the SDK.
• Distribute the SDK independently from your game application.
• Use the Services in any way that violates applicable law or infringes the rights of others.

6. Advertiser Terms

If you use the Services as an advertiser, you represent that your ad content complies with all applicable laws and does not contain misleading, harmful, or unlawful material. Vakoi reserves the right to reject or remove any ad content at our sole discretion. Campaign pricing, billing terms, and payment schedules are as agreed in your advertiser agreement or as displayed in the platform.

7. Intellectual Property

All rights, title, and interest in the Services, including the SDK, APIs, documentation, and website, are and remain the property of Vakoi AI Ltd or its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent. You retain ownership of your game content and ad creatives.

8. Data and Privacy

Our collection and use of data is governed by our Privacy Policy, which complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We do not sell your data. By using the Services, you acknowledge and agree to the practices described in our Privacy Policy. If you integrate our SDK, you are responsible for informing your end users about data collection as required by applicable law.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any particular level of ad revenue will be achieved.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Vakoi AI Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total cumulative liability shall not exceed the greater of (a) the amounts you paid to us in the twelve months preceding the claim, or (b) one hundred pounds sterling (£100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Vakoi AI Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your licence to use the SDK and Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
